ARTICLE I

NAME

This organization shall be named the Bluebonnet Miata Club. 

ARTICLE II

CHAPTER OBJECTIVES

The Bluebonnet Miata Club is dedicated to the enjoyment of and the advancement of knowledge pertaining to the Mazda MX-5 Miata sports car and related MX-5 Miata products.  The club encourages the exchange of information about the MX-5 Miata by providing a vehicle for communication among MX-5 Miata owners and aficionados.

ARTICLE III

MEMBERSHIP

Membership in the Bluebonnet Miata Club is open to any individual regardless of race, color, sex, creed, age, disability or national origin.  Membership is secured by submitting a properly filled out application form and dues paid to the Membership Chairman.  Members shall be at least 16 years of age, possess a valid drivers license and comply with Texas financial responsibility/liability insurance laws. Membership is based on payment of membership dues and each membership is allowed one vote (for elections and business matters). Ownership of a MX-5 Miata is required for initial membership.. 

ARTICLE IV

FINANCES

Dues shall be established by vote of the Executive Committee.  Changes to the dues structure shall also be made by vote of the Executive Committee. Both the Treasurer and the President shall have signatory authority for Club financial matters. However, only one signature is required when a check is written.

ARTICLE V

MEETINGS

Business Meeting:  There shall be an annual business meeting of the Club at a time and place selected by the Executive Committee.  The time and place of the annual business meeting shall be announced to the Club members not less than 30 days prior to the meeting.

Other Meetings:  The Club shall meet not less than six times per year, including the annual business meeting.  Members may meet under the name of the Club at any time or place, provided that the Club President and Secretary are notified and a meeting summary is delivered to the Newsletter Editor for inclusion in the next issue of the Club Newsletter.

ARTICLE VI

NEWSLETTER

A Club Newsletter shall be published not less than six times per year.  The Newsletter Editor shall have final discretion over content of the newsletter with the exception of official notices.

ARTICLE VII

OFFICERS

The Bluebonnet MIata Club, its Board of Directors adn its Executive Commitee as defined below shall not be held responsible/liable for the actions of any of its members. All Board Members shall be Club members in good standing.  Elected Board Members of the Club shall consist of a President, Vice-President, Treasurer, and Secretary.  The Vice-President shall become President if that office becomes vacant.  Other vacant offices shall be appointed by the Executive Committee for the unexpired term.  Any officer who fails to attend two consecutive Club meetings or fails to perform the duties of the office may be recalled by the Executive Committee.

ARTICLE VIII

NOMINATIONS AND ELECTIONS

The Nominating Committee shall be composed of three members appointed by the Executive Committee.  The Committee shall set criteria for selection of nominees.  These criteria should include willingness to devote time and effort to the Club.  The Nominating Committee shall present its recommendations at the Club meeting preceding the annual business meeting.  At the same time members may nominate additional candidates for inclusion in the slate of nominees.

The election of officers shall be at the annual business meeting of the Club.  The Board of Directors shall be elected by a majority vote of those members present and voting - each membership having one (1) vote.

ARTICLE IX

AMENDMENTS

Club By-Laws may be amended by a 60% majority vote of the members in attendance at the annual Club business meeting, or special business meeting called by the President.  Announcement of proposed changes to bylaws will be published to the membership not less than 30 days prior to such meeting.
